1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the LISDESK Laboratory Information Management System (LIMS), its web platform, APIs, modules, and related services ("Services") provided by LISDESK, operating from Karak, Kalyanpur, Nandakumar, West Bengal, India.

By accessing the Services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws including, but not limited to, Indian IT Act 2000, DPDP Act 2023, and any applicable HIPAA or GDPR regulations for cross-border data handling.

2. Description of Services

LISDESK provides enterprise-grade Laboratory Information Management System (LIMS) software including:

• Clinical diagnostics workflow management (hematology, chemistry, urinalysis)
• Anatomic pathology and molecular laboratory information systems
• Genomics and NGS bioinformatics pipeline integration
• Laboratory Revenue Cycle Management (RCM) and billing automation
• Biobanking, environmental, and research LIMS
• HL7/FHIR EHR bidirectional instrument interfacing (700+ analyzer drivers)
• Physician and patient web portal access
• Quality compliance and regulatory audit management

Services are provided on a subscription (SaaS), on-premise deployment, or hybrid model as agreed in a separate Service Level Agreement (SLA).

3. User Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify LISDESK of any unauthorized use of your account. LISDESK reserves the right to suspend or terminate accounts that violate these Terms.

• Each user account is for a single named individual only (no shared logins)
• Administrators are responsible for managing user access within their organization
• Multi-factor authentication (MFA) must be enabled for all privileged accounts
• User activity logs are maintained for CAP/CLIA regulatory audit purposes

4. Intellectual Property

All software code, algorithms, interface designs, documentation, trademarks, logos (including LISDESK™, DeskConnect™, AutoVerify™, DeskPortal™, Specimen 360™, ComplianceGuard™), and content are the exclusive intellectual property of LISDESK and are protected under the Indian Copyright Act 1957 and applicable international treaties.

You may not copy, reproduce, distribute, modify, reverse-engineer, decompile, or create derivative works from any part of the Services without prior written consent from LISDESK.

5. Prohibited Uses

You agree not to use LISDESK Services for:

• Any unlawful purpose or in violation of any applicable regulations
• Transmitting malicious code, viruses, or performing unauthorized penetration testing
• Harvesting patient data for purposes beyond the agreed clinical scope
• Circumventing security controls or audit trail mechanisms
• Reselling, sublicensing, or white-labeling the platform without written agreement
• Storing non-laboratory data or using the platform as general-purpose file storage

6. Limitation of Liability

To the maximum extent permitted by law, LISDESK shall not be liable for:

• Indirect, incidental, or consequential damages arising from Service use
• Clinical decisions made based on data processed through the platform
• Downtime caused by third-party providers, internet infrastructure, or force majeure events
• Data loss attributable to customer misuse or failure to maintain backup procedures

Our maximum aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

7. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India, with jurisdiction in the courts of West Bengal. Any disputes shall first be attempted to be resolved through good-faith negotiation, followed by binding arbitration under the Arbitration and Conciliation Act, 1996.
